What we're looking for

The Senior Commercial Counsel will be a critical member of the legal team and will report to the Chief Legal Officer. You will work closely with our Commercial, Procurement and Technology teams, providing counsel in a broad range of areas, as well as developing the Company's commercial legal support processes. You'll take a solutions-oriented, business-minded approach to complex contracts and transactions, with an eye towards innovation and scalability. You'll also play a key role in managing our acquisitions and our intellectual property portfolio.

What you'll do

• Draft, review and negotiate a broad range or commercial revenue-generating and vendor contracts, supporting our Commercial, Procurement, Marketing and Product teams.
• Work cross-functionally to proactively identify legal and operational risks, devise creative, actionable, business-friendly solutions and develop strong, trusted advisor relationships, including with senior executives.
• Provide pragmatic legal analyses of applicable laws, regulations and industry guidance, including in areas of intellectual property and privacy/personal data.
• Drive continuous improvements of commercial forms, policies and processes, to help streamline and simplify deals and product/service terms and scale for growth.
• Work closely with our Commercial, Procurement, Product and other functional groups in all stages of strategic transactions, including structuring transactions, drafting and negotiating deal documents, managing deal processes, and managing diligence across departments.
• Manage the Company's intellectual property portfolio, including patents and trademarks.
• Manage multiple projects with competing deadlines.
• Contribute to the overall development of your team, our Legal team as a whole, and the growth and success of the Company

Skills you'll need

• Holds JD and is admitted to the bar of at least one state in which Vacasa operates.
• 8+ years of relevant legal experience, ideally gained at a law firm followed by extensive in-house experience - experience in the travel or real-estate related industries a plus
• Experience in intellectual property, including patent and trademark applications, disputes and management, and working knowledge of data privacy and security issues strongly preferred.
• Experience managing people.
• Excellent communication skills, with a demonstrated ability to effectively collaborate and negotiate with both internal and external business and legal teams, and advise stakeholders at the most senior levels.
• Strong drafting skills and exceptional attention to detail
• A strong work ethic, a sense of humor and an ability to handle multiple projects simultaneously

You'll be working in your home office setting. We hold virtual training sessions and weekly team meeting. Occasional offsite team meetings in your region or our HQ locations. Requires frequent, repetitive use of a computer, phone, and office equipment. Requires patient, professional communication with prospective clients, and the ability to build confidence with prospects.

Compensation

• $180000 - $200000 / year
