Overview

Leyline Renewable Capital is seeking a Counsel to join the Legal team. You will provide the full suite of transactional legal services to lead the negotiation and closing of our development capital loans and other financial products to finance solar, energy storage, wind, RNG projects and other emerging renewable energy technologies, conduct legal diligence on renewable energy projects and support Leyline’s Asset Management team throughout the life of our loans. You will be a licensed attorney experienced in renewable energy development, project finance (including debt, tax equity and/or project M&A), lending and/or structured finance transactions and will report to the Head of the Legal team.

Responsibilities

• Draft, negotiate and review the full scope of loan documentation, including loan agreements, security agreements, pledge agreements, guaranties and other ancillary agreements.
• Lead deal closings, including negotiating opposite borrowers and their counsel, managing closing checklists, keeping track of deliverables required from numerous third parties, and working with outside counsel and internal stakeholders to meet closing timelines and to drive legal and commercial solutions.
• Conduct legal due diligence of project contracts, corporate organizational documents and other project assets comprising loan collateral to assess financeability and collateral risk. Familiarity with project development matters, including real estate, interconnection, PPA and equipment procurement, is valuable in this regard.
• Support legal matters in the asset management of our loans, including loan payoffs, takeout financing, loan workouts and distressed asset situations. Familiarity with creditor rights and lender remedies, as well as takeout financing structures, including project M&A, tax equity, construction debt, back leverage debt and intercreditor arrangements, is valuable in this regard.
• Draft, negotiate and review standard day-to-day contracts, including NDAs and consulting agreements.
• Handle day-to-day contractual and compliance matters, including managing corporate entities, reviewing compliance with loan covenants and responding to questions regarding contract interpretation.
• Provide general legal support and guidance to other legal team members, cross-functional teams (including project finance, technical services, origination, asset management and accounting teams) and other internal stakeholders at all levels of the company.

Skills

• Juris Doctor degree from an ABA accredited law school.
• Admitted to practice law (NY or NC preferred).

• Minimum of 5-8 years of corporate or transactional experience in an in-house legal department or at a law firm and in any combination of project finance, M&A, project development, structured finance and/or asset based lending.
• Previous experience in the renewable energy industry preferred and excitement about renewable energy and sustainability is a must-have.
• Familiarity with a variety of financing documents, project contracts and commercial contracts, including loan agreements, security agreements, intercreditor agreements, guaranties, MIPAs, tax equity agreements, site control agreements, NDAs and services agreements.
• Proven experience in executing closings of complex finance and/or M&A transactions involving numerous counterparties and a large volume of contracts and deliverables.
• High level of accuracy, attention to detail and excellent drafting skills.
• High level of organizational skills and time management skills.
• Excellent written and oral communication skills required to communicate effectively with direct team members, across multiple departments and with external counterparties.

• Strong analytical skills with ability to interpret and summarize complex legal documents.
• Proven track record as a trusted legal adviser with sound and practical legal and business judgment.
• Strong interpersonal skills with the ability to interact with team members at all levels of the company in a congenial, collaborative manner.
